Flexible Company Act (FlexKapGG)

The statute behind the FlexCo — the start-up vehicle that sits between the GmbH and the AG, with a dedicated employee-equity class.

Flexible Kapitalgesellschafts-Gesetz (FlexKapGG), BGBl. I Nr. 179/2023, in Kraft seit 1.1.2024

The Flexible Company (FlexKapG / FlexCo), in force since 1 January 2024, is built for start-ups and companies that want to give employees equity. It borrows the GmbH framework but changes the parts that matter for founders: a EUR 1 minimum share, a new company-value-share class capped below 25% of capital, lighter formalities for voting and for transferring shares, and tag-along protection for employee holders.

Where the FlexKapGG is silent, the rules of the GmbH Act apply. Each section below shows the English and the German side by side, paragraph by paragraph; the German text is copied from the official consolidated version (RIS) and our English is an unofficial working translation.
