#(1)Before a private foundation comes into existence, the foundation declaration may be revoked or amended by the founder; where one of several founders has ceased to exist, the foundation declaration cannot be revoked and may be amended only while preserving the purpose of the foundation. Where the sole or last founder has ceased to exist, the foundation board may, while preserving the purpose of the foundation, make amendments to take account of obstacles to registration that have since emerged and of changed circumstances.
(1)Vor dem Entstehen einer Privatstiftung kann die Stiftungserklärung vom Stifter widerrufen oder abgeändert werden; wenn einer von mehreren Stiftern weggefallen ist, kann die Stiftungserklärung nicht widerrufen und nur unter Wahrung des Stiftungszwecks geändert werden. Ist der einzige oder letzte Stifter weggefallen, so kann der Stiftungsvorstand unter Wahrung des Stiftungszwecks Änderungen zur Berücksichtigung mittlerweile hervorgekommener Eintragungshindernisse und geänderter Verhältnisse vornehmen.
#(2)After a private foundation has come into existence, the foundation declaration may be amended by the founder only if the founder has reserved the right to amend. Where an amendment is not possible because a founder has ceased to exist, because several founders do not agree, or because no right to amend was reserved, the foundation board may, while preserving the purpose of the foundation, amend the foundation declaration to adapt it to changed circumstances. The amendment requires the approval of the court.
(2)Nach dem Entstehen einer Privatstiftung kann die Stiftungserklärung vom Stifter nur geändert werden, wenn er sich Änderungen vorbehalten hat. Ist eine Änderung wegen Wegfalls eines Stifters, mangels Einigkeit bei mehreren Stiftern oder deswegen nicht möglich, weil Änderungen nicht vorbehalten sind, so kann der Stiftungsvorstand unter Wahrung des Stiftungszwecks Änderungen der Stiftungserklärung zur Anpassung an geänderte Verhältnisse vornehmen. Die Änderung bedarf der Genehmigung des Gerichts.
#(3)The foundation board must file the amendment of the foundation deed, attaching a publicly certified copy of the amending resolution, and the fact that the supplementary foundation deed has been amended, for entry in the company register. The amendment takes effect on entry in the company register.
(3)Der Stiftungsvorstand hat die Änderung der Stiftungsurkunde unter Anschluß einer öffentlich beglaubigten Abschrift des Änderungsbeschlusses und die Tatsache der Änderung der Stiftungszusatzurkunde zur Eintragung in das Firmenbuch anzumelden. Die Änderung wird mit der Eintragung in das Firmenbuch wirksam.
