§ 2  Definition of beneficial owner

§ 2 WiEReG — Definition des wirtschaftlichen Eigentümers

#
Beneficial owners are all natural persons who ultimately own or control a legal entity; this includes at least the following persons:
  1. 1.in the case of companies, in particular legal entities under § 1(2) points 1 to 11, 13 and 14:
    1. a)all natural persons who directly or indirectly hold a sufficient percentage of the shares or voting rights (including through bearer shares), have a sufficient ownership interest in the company (including in the form of a business or capital share), or exercise control over the company: aa) Direct beneficial owner: where a natural person holds more than 25% of the shares or voting rights or an ownership interest of more than 25% in the company, or one or more natural persons together directly exercise control over the company, that natural person or those natural persons are direct beneficial owners. bb) Indirect beneficial owner: where a legal entity holds more than 25% of the shares or voting rights or an ownership interest of more than 25% in the company, and one or more natural persons together directly or indirectly exercise control over that legal entity, that natural person or those natural persons are indirect beneficial owners of the company. Where several legal entities directly or indirectly controlled by the same natural person or persons together hold more than 25% of the shares or voting rights or an ownership interest of more than 25% in the company, that natural person or those natural persons are beneficial owners. Any shares, voting rights or ownership interest held directly by the aforementioned natural person or persons is to be added in each case. Top-level legal entities are those legal entities in a chain of holdings that are directly controlled by indirect beneficial owners, and those legal entities in which indirect beneficial owners directly hold shares, voting rights or an ownership interest where these, together with the aforementioned legal entity or entities, establish beneficial ownership. Where the beneficial owner exercises a function under point 2 or point 3, the legal entity concerned is always a top-level legal entity. The term legal entity within the meaning of this point also includes comparable legal entities within the meaning of § 1 with their seat in another Member State or in a third country. Control exists where a shareholding of 50% plus one share, or an ownership interest of more than 50%, is held directly or indirectly. Control also exists where the criteria of § 244(2) UGB are met, where a function under point 2 or point 3 is exercised at a top-level legal entity, or where the company is ultimately controlled in any other way. Moreover, a trustor or comparable person establishes control through a trust relationship or comparable legal relationship.
    2. b)the natural persons belonging to the senior management of the company where, after all possible means have been exhausted and provided there are no grounds for suspicion, no person under point (a) can be identified. For the following companies: aa) in general partnerships and limited partnerships with exclusively natural persons as partners, the managing partners are deemed to be beneficial owners, unless there are indications that the partnership is directly or indirectly controlled by one or more other natural persons; bb) in cooperatives, the members of senior management (management board) are deemed to be beneficial owners or, where managing directors are also registered, only the managing directors; cc) in companies without owners, the natural persons belonging to senior management are deemed to be beneficial owners, unless there are indications that the company is directly or indirectly controlled by one or more other natural persons; dd) in companies over which insolvency proceedings have been opened and for which the court has appointed an insolvency administrator, the insolvency administrator is deemed to be the beneficial owner where there is no senior management.
  2. 2.in the case of trusts, in particular legal entities under § 1(2) point 17:
    1. a)the settlor(s)/trustor(s);
    2. b)the trustee(s);
    3. c)the protector(s), if any;
    4. d)the beneficiaries or, where the individuals benefiting from the trust have yet to be determined, the class of persons in whose main interest the trust is set up or operates (class of beneficiaries); where persons from this class receive distributions from the trust worth more than EUR 2,000 in a calendar year, they are deemed to be one-off beneficiaries in that calendar year;
    5. e)any other natural person exercising ultimate control over the trust by other means.
  3. 3.in the case of foundations, comparable legal persons and trust-like arrangements under § 1(2) point 18, the natural persons holding functions equivalent or similar to those referred to under point 2; this concerns, in the case of
    1. a)private foundations (§ 1(2) point 12): aa) the founders; bb) the beneficiaries, or the class of persons from which the beneficiaries are selected by a separate determination (§ 5 PSG) (class of beneficiaries) — where persons from this class receive distributions from the private foundation worth more than EUR 2,000 in a calendar year, they are deemed to be one-off beneficiaries in that calendar year — or, in the case of private foundations under § 66 VAG 2016, savings-bank foundations under § 27a SpG, business-purpose promotion foundations under § 4d(1) EStG 1988, employee-promotion foundations under § 4d(2) EStG 1988 and staff and employee-participation foundations under § 4d(3) and (4) EStG 1988, always the class of beneficiaries; cc) the members of the foundation board; dd) and any other natural person exercising ultimate control over the private foundation by other means;
    2. b)foundations and funds (§ 1(2) points 15 and 16): aa) the founders; bb) the members of the foundation or fund board; cc) the class of beneficiaries; dd) and any other natural person exercising ultimate control over the foundation or fund by other means.
    1. a)der/die Settlor/Trustor(en);
    2. b)der/die Trustee(s);

    4. d)die Begünstigten oder – sofern die Einzelpersonen, die Begünstigte des Trusts sind, noch bestimmt werden müssen – die Gruppe von Personen, in deren Interesse der Trust errichtet oder betrieben wird (Begünstigtenkreis); erhalten Personen aus dieser Gruppe Zuwendungen von dem Trust, deren Wert 2 000 Euro in einem Kalenderjahr übersteigt, dann gelten sie in dem betreffenden Kalenderjahr als Einmalbegünstigte;
    5. e)jede sonstige natürliche Person, die den Trust auf andere Weise letztlich kontrolliert.
