§ 4  Content and form of the articles of association

(1)The articles of association must state: 1. the company name (Firma) and the registered seat of the company; 2. the object of the undertaking; 3. the amount of the share capital; 4. the amount of the contribution to be made by each shareholder towards the share capital (the capital contribution, Stammeinlage).

(1)Der Gesellschaftsvertrag muß bestimmen: 1. die Firma und den Sitz der Gesellschaft, 2. den Gegenstand des Unternehmens, 3. die Höhe des Stammkapitals, 4. den Betrag der von jedem Gesellschafter auf das Stammkapital zu leistenden Einlage (Stammeinlage).

(2)Provisions conflicting with the rules of this Act may not be included in the articles of association and have no legal effect.

(2)Bestimmungen, die den Vorschriften dieses Gesetzes widersprechen, dürfen im Gesellschaftsvertrage nicht getroffen werden und haben keine rechtliche Wirkung.

(3)The articles of association must take the form of a notarial deed, which may also be executed electronically using an electronic means of communication (§ 69b of the Notarial Code). Signature by an authorised representative requires a special certified power of attorney issued for this particular transaction, which must be attached to the deed.

(3)Der Gesellschaftsvertrag bedarf der Form eines Notariatsakts, wobei dieser auch elektronisch unter Nutzung einer elektronischen Kommunikationsmöglichkeit (§ 69b NO) errichtet werden kann. Die Unterzeichnung durch Bevollmächtigte setzt eine besondere, auf dieses einzelne Geschäft ausgestellte beglaubigte Vollmacht voraus, die dem Vertrage anzuschließen ist.
