§ 3  Registration requirements; one-person company

(1)Registration of a limited liability company in the company register (Firmenbuch) requires: 1. conclusion of the articles of association; 2. appointment of the managing directors (the management board).

(1)Die Eintragung einer Gesellschaft mit beschränkter Haftung in das Firmenbuch hat zur Voraussetzung: 1. den Abschluß des Gesellschaftsvertrages; 2. die Bestellung der Geschäftsführer (des Vorstandes).

(2)Where the company is formed by a single person, the articles of association are replaced by the declaration establishing the company. The provisions governing the articles of association apply mutatis mutandis to that declaration.

(2)Wird die Gesellschaft nur durch eine Person errichtet, so wird der Gesellschaftsvertrag durch die Erklärung über die Errichtung der Gesellschaft ersetzt. Auf diese Erklärung sind die Vorschriften über den Gesellschaftsvertrag sinngemäß anzuwenden.
