§ 20  Limits on the authority to represent

(1)The managing directors are obliged, vis-à-vis the company, to observe all restrictions on the scope of their authority to represent the company laid down in the articles of association, by resolution of the shareholders, or in a directive of the supervisory board that is binding on the managing directors.

(1)Die Geschäftsführer sind der Gesellschaft gegenüber verpflichtet, alle Beschränkungen einzuhalten, die in dem Gesellschaftsvertrage, durch Beschluß der Gesellschafter oder in einer für die Geschäftsführer verbindlichen Anordnung des Aufsichtsrates für den Umfang ihrer Befugnis, die Gesellschaft zu vertreten, festgesetzt sind.

(2)As against third parties, however, a restriction of the authority to represent has no legal effect. This applies in particular where the representation is to extend only to certain transactions or types of transaction, or is to take place only in certain circumstances, for a certain time, or at particular places, or where the consent of the shareholders, the supervisory board or another organ of the company is required for individual transactions.

(2)Gegen dritte Personen hat eine Beschränkung der Vertretungsbefugnis jedoch keine rechtliche Wirkung. Dies gilt insbesondere für den Fall, daß die Vertretung sich nur auf gewisse Geschäfte oder Arten von Geschäften erstrecken oder nur unter gewissen Umständen oder für eine gewisse Zeit oder an einzelnen Orten stattfinden soll, oder daß die Zustimmung der Gesellschafter, des Aufsichtsrates oder eines anderen Organes der Gesellschaft für einzelne Geschäfte gefordert wird.
