Austrian GmbH Act

§ 18  Representation of the company

§ 18 GmbHG — Vertretung der Gesellschaft

#

(1)The company is represented in and out of court by the managing directors.

#

(2)Declarations of intent, in particular the signing by the managing directors on behalf of the company, require the participation of all managing directors, unless the articles of association provide otherwise. Signing is effected by the signatories adding their signature to the company name.

#

(3)Where there are several managing directors, the articles of association may also provide for the company to be represented by one managing director acting jointly with a Prokurist authorised to co-sign the company name (§ 48(2) UGB).

#

(4)The making of a declaration to the company, and the service of summonses and other documents on the company, take legal effect in respect of any person authorised to sign or co-sign.

#

(5)In respect of legal transactions which the sole shareholder concludes both in that shareholder’s own name and in the name of the company, a document must be drawn up without delay. Provision must be made to exclude subsequent changes to the content and doubts as to the time of conclusion; the appointment of a curator is not required.

#

(6)No document need be drawn up where the transaction falls within the ordinary course of business and is concluded on customary commercial terms.
