#(1)Members of the management board are appointed by the supervisory board for a maximum of five years. Where a member of the management board is appointed for a specified longer period, for an indefinite period or without stating a period, the appointment is effective for five years. Reappointment is permissible; to be effective, however, it requires written confirmation by the chair of the supervisory board. These rules apply mutatis mutandis to the service contract.
(1)Vorstandsmitglieder bestellt der Aufsichtsrat auf höchstens fünf Jahre. Wenn die Bestellung eines Vorstandsmitglieds auf eine bestimmte längere Zeit, auf unbestimmte Zeit oder ohne Zeitangabe erfolgt, ist sie fünf Jahre wirksam. Eine wiederholte Bestellung ist zulässig; sie bedarf jedoch zu ihrer Wirksamkeit der schriftlichen Bestätigung durch den Vorsitzenden des Aufsichtsrats. Diese Vorschriften gelten sinngemäß für den Anstellungsvertrag.
#(2)A legal person or a partnership (general partnership, limited partnership) cannot be appointed as a member of the management board.
(2)Eine juristische Person oder eine Personengesellschaft (offene Gesellschaft, Kommanditgesellschaft) kann nicht zum Vorstandsmitglied bestellt werden.
#(2a)A person may not be a member of the management board who has been finally convicted by a domestic court to a custodial sentence of more than six months, where the conviction was based, exclusively or among other things, on at least one of the following offences (disqualification): fraud (§ 146 StGB), breach of trust (§ 153 StGB), acceptance of gifts by a person in a position of power (§ 153a StGB), misuse of subsidies (§ 153b StGB), withholding of employees' social-security contributions (§ 153c StGB), fraudulent registration with social security or the construction workers' holiday and severance fund (§ 153d StGB), organised undeclared work (§ 153e StGB), fraudulent bankruptcy (§ 156 StGB), prejudice to other creditors (§ 157 StGB), favouring of a creditor (§ 158 StGB), grossly negligent impairment of creditors' interests (§ 159 StGB), misrepresentation of material information concerning certain entities (§ 163a StGB), money laundering (§ 165 StGB), anti-competitive agreements in procurement procedures (§ 168b StGB), expenditure-side fraud against the financial interests of the European Union (§ 168f StGB), misuse of funds and assets against the financial interests of the European Union (§ 168g StGB), tax fraud (§ 39 FinStrG) or cross-border VAT fraud (§ 40 FinStrG). The legal consequence of disqualification ends three years after the conviction becomes final.
(2a)Vorstandsmitglied darf nicht sein, wer von einem inländischen Gericht rechtskräftig zu einer mehr als sechsmonatigen Freiheitsstrafe verurteilt worden ist, sofern die Verurteilung ausschließlich oder auch wegen zumindest einer der folgenden strafbaren Handlungen erfolgt ist (Disqualifikation): Betrug (§ 146 StGB), Untreue (§ 153 StGB), Geschenkannahme durch Machthaber (§ 153a StGB), Förderungsmissbrauch (§ 153b StGB), Vorenthalten von Dienstnehmerbeiträgen zur Sozialversicherung (§ 153c StGB), Betrügerisches Anmelden zur Sozialversicherung oder Bauarbeiter-Urlaubs- und Abfertigungskasse (§ 153d StGB), Organisierte Schwarzarbeit (§ 153e StGB), Betrügerische Krida (§ 156 StGB), Schädigung fremder Gläubiger (§ 157 StGB), Begünstigung eines Gläubigers (§ 158 StGB), Grob fahrlässige Beeinträchtigung von Gläubigerinteressen (§ 159 StGB), Unvertretbare Darstellung wesentlicher Informationen über bestimmte Verbände (§ 163a StGB), Geldwäscherei (§ 165 StGB), Wettbewerbsbeschränkende Absprachen bei Vergabeverfahren (§ 168b StGB), Ausgabenseitiger Betrug zum Nachteil der finanziellen Interessen der Europäischen Union (§ 168f StGB), Missbräuchliche Verwendung von Mitteln und Vermögenswerten zum Nachteil der finanziellen Interessen der Europäischen Union (§ 168g StGB), Abgabenbetrug (§ 39 FinStrG) oder Grenzüberschreitender Umsatzsteuerbetrug (§ 40 FinStrG). Die Rechtsfolge der Disqualifikation endet drei Jahre nach Rechtskraft der Verurteilung.
#(2b)Subsection (2a) also applies to such a conviction for a comparable offence by a foreign court.
(2b)Abs. 2a gilt auch für eine derartige Verurteilung wegen einer vergleichbaren strafbaren Handlung durch ein ausländisches Gericht.
#(2c)Where a member of the management board is or becomes disqualified under subsection (2a) or (2b), § 16a(3) GmbHG applies mutatis mutandis.
(2c)Ist oder wird ein Vorstandsmitglied nach Abs. 2a oder 2b disqualifiziert, so gilt § 16a Abs. 3 GmbHG sinngemäß.
#(3)Where several persons are appointed members of the management board, the supervisory board may appoint one member as chair of the management board.
(3)Werden mehrere Personen zu Vorstandsmitgliedern bestellt, so kann der Aufsichtsrat ein Mitglied zum Vorsitzenden des Vorstands ernennen.
#(4)The supervisory board may revoke the appointment as a member of the management board and the appointment as chair of the management board where there is good cause. Such cause includes in particular gross breach of duty, inability to manage the business properly, or withdrawal of confidence by the general meeting, unless confidence was withdrawn for obviously unfounded reasons. This also applies to the management board appointed by the first supervisory board. The revocation is effective as long as its ineffectiveness has not been determined by a final decision. Claims under the service contract are not affected.
(4)Der Aufsichtsrat kann die Bestellung zum Vorstandsmitglied und die Ernennung zum Vorsitzenden des Vorstands widerrufen, wenn ein wichtiger Grund vorliegt. Ein solcher Grund ist namentlich grobe Pflichtverletzung, Unfähigkeit zur ordnungsgemäßen Geschäftsführung oder Entziehung des Vertrauens durch die Hauptversammlung, es sei denn, daß das Vertrauen aus offenbar unsachlichen Gründen entzogen worden ist. Dies gilt auch für den vom ersten Aufsichtsrat bestellten Vorstand. Der Widerruf ist wirksam, solange nicht über seine Unwirksamkeit rechtskräftig entschieden ist. Ansprüche aus dem Anstellungsvertrag werden hiedurch nicht berührt.
