#(1)The stock corporation is represented in and out of court by the management board.
(1)Die Aktiengesellschaft wird durch den Vorstand gerichtlich und außergerichtlich vertreten.
#(2)Where the management board consists of several persons, all members of the management board are authorised to make declarations of intent and to sign for the company only jointly, unless the articles of association provide otherwise. The management board may authorise individual members to carry out particular transactions or particular types of transaction. Where a declaration of intent is to be made to the company, making it to one member of the management board suffices.
(2)Besteht der Vorstand aus mehreren Personen, so sind, wenn die Satzung nichts anderes bestimmt, sämtliche Vorstandsmitglieder nur gemeinschaftlich zur Abgabe von Willenserklärungen und zur Zeichnung für die Gesellschaft befugt. Der Vorstand kann einzelne Vorstandsmitglieder zur Vornahme bestimmter Geschäfte oder bestimmter Arten von Geschäften ermächtigen. Ist eine Willenserklärung der Gesellschaft gegenüber abzugeben, so genügt die Abgabe gegenüber einem Vorstandsmitglied.
#(3)Where the management board consists of several persons, the articles of association may also provide that individual members are authorised to represent the company alone or jointly with a Prokurist; in every case, however, it must be possible for the company to be represented by the management board without the involvement of a Prokurist. The supervisory board may make the same provision where the articles of association authorise it to do so. The second and third sentences of subsection (2) apply mutatis mutandis in these cases.
(3)Die Satzung kann, wenn der Vorstand aus mehreren Personen besteht, auch bestimmen daß einzelne von diesen allein oder in Gemeinschaft mit einem Prokuristen zur Vertretung der Gesellschaft befugt sind; es muß aber in jedem Fall die Möglichkeit bestehen, daß die Gesellschaft vom Vorstand auch ohne die Mitwirkung eines Prokuristen vertreten werden kann. Gleiches kann der Aufsichtsrat bestimmen, wenn die Satzung ihn hiezu ermächtigt hat. Abs. 2 Satz 2 und 3 gilt in diesem Fällen sinngemäß.
