(1)The management board must manage the company on its own responsibility as the good of the undertaking requires, taking into account the interests of the shareholders and the employees as well as the public interest.

(2)The management board may consist of one or more persons. Where a member of the management board has been appointed chair of the management board, the chair has the casting vote in the event of a tie, unless the articles of association provide otherwise.
(2)Der Vorstand kann aus einer oder mehreren Personen bestehen. Ist ein Vorstandsmitglied zum Vorsitzenden des Vorstands ernannt, so gibt, wenn die Satzung nichts anderes bestimmt, seine Stimme bei Stimmengleichheit den Ausschlag.
