3.the amount of the share capital, and whether bearer or registered shares are issued;
4.whether the share capital is divided into par-value or no-par-value shares, for par-value shares the nominal amounts of the individual shares, for no-par-value shares their number and, where there are several classes, the class of the individual shares;
5.how the management board is composed (number of members of the management board);
6.the form of the company's publications.
Die Satzung muß bestimmen:
1.die Firma und den Sitz der Gesellschaft;
2.den Gegenstand des Unternehmens;
3.die Höhe des Grundkapitals, weiters ob Inhaber- oder Namensaktien ausgegeben werden;
4.ob das Grundkapital in Nennbetragsaktien oder Stückaktien zerlegt ist, bei Nennbetragsaktien die Nennbeträge der einzelnen Aktien, bei Stückaktien deren Zahl und, wenn mehrere Gattungen bestehen, die Gattung der einzelnen Aktien;
5.die Art der Zusammensetzung des Vorstands (Zahl der Vorstandsmitglieder);
6.die Form der Veröffentlichungen der Gesellschaft.
