Austrian GmbH Act

§ 76  Transfer of shares

§ 76 GmbHG — Übertragung von Geschäftsanteilen

#

(1)Shares (Geschäftsanteile) are transferable and may pass by inheritance.

(1)Die Geschäftsanteile sind übertragbar und vererblich.

#

(2)The transfer of shares by legal transaction inter vivos requires a notarial deed. Agreements creating an obligation of a shareholder to assign a share in the future require the same form. The articles of association may make the transfer subject to further conditions, in particular to the consent of the company.

#

(3)The power to transfer also includes the power to create a pledge by agreement. A notarial deed is not required for the latter.
