#(1)Shares may be created either as par-value shares or as no-par-value shares. Both types of share may not exist side by side in the company.
(1)Aktien können entweder als Nennbetragsaktien oder als Stückaktien begründet werden. Beide Aktienarten dürfen in der Gesellschaft nicht nebeneinander bestehen.
#(2)Par-value shares must be for at least one euro or a multiple of one euro. The share in the share capital is determined by the ratio of the nominal amount to the share capital.
(2)Nennbetragsaktien müssen auf mindestens einen Euro oder auf ein Vielfaches davon lauten. Der Anteil am Grundkapital bestimmt sich nach dem Verhältnis des Nennbetrags zum Grundkapital.
#(3)No-par-value shares have no nominal amount. Each no-par-value share participates in the share capital to the same extent. The share is determined by the number of shares issued. The proportion of the share capital attributable to an individual share must be at least one euro.
(3)Stückaktien haben keinen Nennbetrag. Jede Stückaktie ist am Grundkapital in gleichem Umfang beteiligt. Der Anteil bestimmt sich nach der Zahl der ausgegebenen Aktien. Der auf eine einzelne Aktie entfallende anteilige Betrag des Grundkapitals muß mindestens einen Euro betragen.
#(4)Par-value shares for a different nominal amount (subsection (2)) and no-par-value shares for a lower proportionate amount (subsection (3)) are void. The issuers are jointly and severally liable to the holders for damage resulting from their issue.
(4)Nennbetragsaktien über einen anderen Nennbetrag (Abs. 2) und Stückaktien über einen geringeren anteiligen Betrag (Abs. 3) sind nichtig. Für den Schaden aus der Ausgabe sind die Ausgeber den Besitzern als Gesamtschuldner verantwortlich.
#(5)Shares are indivisible.
