#(1)The general meeting serves the collective decision-making of the shareholders in the company's affairs.
(1)Die Hauptversammlung dient der gemeinschaftlichen Willensbildung der Aktionäre in den Angelegenheiten der Gesellschaft.
#(2)The general meeting must be held at a place in Austria specified in the articles of association. Unless the articles of association provide otherwise, the general meeting takes place at the company's seat or at the seat of an Austrian stock exchange on which the company's shares are listed.
(2)Die Hauptversammlung muss an einem Ort im Inland stattfinden, den die Satzung bestimmt. Wenn die Satzung nichts anderes bestimmt, findet die Hauptversammlung am Sitz der Gesellschaft statt oder am Sitz einer inländischen Börse, an der die Aktien der Gesellschaft notiert sind.
#(3)The articles of association may provide, or authorise the management board to provide, that shareholders participate in the general meeting by electronic communication and exercise some or all of their rights in this way. Shareholders may in particular be offered one or more of the following forms of participation:- 1.participation in a meeting held at the same time as the general meeting at another place in Austria or abroad, convened and conducted in accordance with the rules for the general meeting and connected with it for its entire duration by a real-time two-way audiovisual link (satellite meeting);
- 2.participation in the general meeting for its entire duration from any place by a real-time two-way audio and, where applicable, video link that enables shareholders to follow the proceedings and, if given the floor by the chair, to address the general meeting themselves (remote participation);
- 3.casting votes electronically from any place (remote voting; § 126).
(3)Die Satzung kann vorsehen oder den Vorstand ermächtigen vorzusehen, dass die Aktionäre an der Hauptversammlung im Weg elektronischer Kommunikation teilnehmen und auf diese Weise einzelne oder alle Rechte ausüben können. Den Aktionären können insbesondere eine oder mehrere der nachstehend angeführten Formen der Teilnahme angeboten werden:- 1.Teilnahme an einer zeitgleich mit der Hauptversammlung an einem anderen Ort im Inland oder Ausland stattfindenden Versammlung, die entsprechend den Vorschriften für die Hauptversammlung einberufen und durchgeführt wird und für die gesamte Dauer der Hauptversammlung mit dieser durch eine optische und akustische Zweiweg-Verbindung in Echtzeit verbunden ist (Satellitenversammlung);
- 2.Teilnahme an der Hauptversammlung während ihrer gesamten Dauer von jedem Ort aus mittels einer akustischen und allenfalls auch optischen Zweiweg-Verbindung in Echtzeit, die es den Aktionären ermöglicht, dem Verlauf der Verhandlungen zu folgen und sich, sofern ihnen der Vorsitzende das Wort erteilt, selbst an die Hauptversammlung zu wenden (Fernteilnahme);
- 3.Abgabe der Stimme auf elektronischem Weg von jedem Ort aus (Fernabstimmung; § 126).
#(4)The articles of association may also provide, or authorise the management board to provide, that the general meeting is transmitted in real time, by audio and where applicable video, to shareholders not present (transmission of the general meeting). In a listed company, public transmission may also be provided for.
(4)Die Satzung kann auch vorsehen oder den Vorstand ermächtigen vorzusehen, dass die Hauptversammlung für die nicht anwesenden Aktionäre akustisch und allenfalls auch optisch in Echtzeit übertragen wird (Übertragung der Hauptversammlung). Bei einer börsenotierten Gesellschaft kann auch die öffentliche Übertragung vorgesehen werden.
#(5)Where, in a satellite meeting (subsection (3) point 1), communication between the meeting places is disrupted, the chair must interrupt the general meeting for the duration of the disruption. In all other cases of electronic participation under subsection (3), and in a transmission under subsection (4), a shareholder may derive a claim against the company from a disruption of communication only where the company is at fault.
(5)Ist bei einer Satellitenversammlung (Abs. 3 Z 1) die Kommunikation zwischen den Versammlungsorten gestört, so hat der Vorsitzende die Hauptversammlung für die Dauer der Störung zu unterbrechen. In allen anderen Fällen der elektronischen Teilnahme gemäß Abs. 3 sowie bei einer Übertragung gemäß Abs. 4 kann ein Aktionär aus einer Störung der Kommunikation nur dann einen Anspruch gegen die Gesellschaft ableiten, wenn diese ein Verschulden trifft.
#(6)The articles of association may provide that shareholders may participate in the general meeting by postal vote under § 127.
(6)Die Satzung kann vorsehen, dass die Aktionäre durch die Abstimmung per Brief gemäß § 127 an der Hauptversammlung teilnehmen können.
