§ 149  Capital increase: requirements

§ 149 AktG — Kapitalerhöhung – Voraussetzungen

#
(1)An increase of the share capital by issuing new shares may be resolved only by a majority comprising at least three quarters of the share capital represented when the resolution is passed. The articles of association may replace this majority with another capital majority and lay down further requirements. In companies with no-par-value shares, the total number of shares must increase in proportion to the amount of the increase relative to the previous share capital.
#
(2)Where there are several classes of voting shares, the resolution of the general meeting requires, to be effective, a resolution of the shareholders of each class passed in a separate vote; subsection (1) applies to that resolution.
#
(3)Where the new shares are to be issued for more than the lowest issue price, the minimum amount below which they may not be issued must be set in the resolution on the capital increase.
#
(4)The share capital may not be increased as long as outstanding contributions on the previous share capital can still be made. For insurance companies, the articles of association may provide otherwise. Outstanding contributions of a relatively insignificant amount do not prevent the capital increase.
